Last updated: November 1, 2026
1. About these Terms
These Terms of Service ("Terms") govern the services provided by Caldana Group LLC, a limited liability company organized in the State of Delaware, USA (Delaware File No. 6610562), with offices at 3150 SW 38th Ave, Suite 1320-F, Miami, FL 33146, USA ("Caldana Group", "we", "us"). You can reach us at contact@caldanagroup.com.
By accepting a proposal from us or using our services, you ("the client") agree to these Terms.
2. Our services
We provide digital marketing services, including search engine optimization, SEO audits, app store optimization, paid advertising management, website development, content strategy, and marketing for content creators and influencers. The descriptions on this website are general information and are not an offer. The specific work we do for each client is defined in a written proposal.
3. Proposals and agreement
- Each engagement is defined by a written proposal that states the scope of work, deliverables, timeline, price or monthly fee, and payment terms.
- The accepted proposal and these Terms form the agreement between you and Caldana Group. If they conflict, the proposal prevails.
- Work outside the scope of the proposal is quoted separately and starts only after you approve it in writing.
4. Fees, invoicing and payment
- Prices are in US dollars unless the proposal states otherwise.
- All invoices are issued by Caldana Group LLC.
- One-off projects are billed at a fixed price, with the deposit and payment schedule set in the proposal. Monthly services are invoiced at the start of each billing period.
- Payment is made by bank transfer, PayPal, card payment through a secure invoice link, or another method agreed in the proposal. Card payments are processed by a third-party payment provider; we do not store card details.
- Prices do not include taxes that may apply in your jurisdiction, or fees your bank or payment provider charges you.
- If an invoice is not paid on time, we may pause the work until it is paid.
5. Client responsibilities
You agree to give us the access, information and approvals we need to do the work (for example, access to your website, analytics or ad accounts) and to make sure the information you give us is accurate. Delays in access or approvals may move the timeline.
6. Third-party platforms
Our work often involves platforms we do not control, such as Google, Meta, Apple, hosting providers and website plugins. Their terms, policies and fees apply to you. Advertising spend is paid by you directly to the platform and is not part of our fee.
7. No guaranteed results
Search engine rankings, traffic and advertising performance depend on factors outside our control, including search engine algorithms and competitors. We do not guarantee specific rankings, positions, traffic or sales. We commit to performing the work described in the proposal with professional care.
8. Intellectual property
Once you have paid in full, you own the deliverables we create specifically for you, such as reports, content and website files. We keep ownership of our own tools, methods, templates and know-how, and you receive a license to use any of them included in the deliverables.
9. Confidentiality
We keep confidential the non-public information you share with us, and we use it only to provide the services. This does not apply to information that is public or that we are required by law to disclose.
10. Limitation of liability
To the extent permitted by law, our total liability for any claim related to an engagement is limited to the fees you paid us for that engagement in the twelve months before the claim. We are not liable for indirect or consequential losses, such as lost profits or lost data.
11. Cancellation and refunds
Cancellations and refunds are governed by our Refund & Cancellation Policy.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules. Any dispute will be resolved in the courts located in the State of Delaware, unless the proposal states otherwise.
13. Changes to these Terms
We may update these Terms. The version published on this page, with its date, applies to proposals accepted after that date. Engagements already under way keep the Terms in force when the proposal was accepted.
